General Terms of Service

Applicable to All Cathrix Services

These General Terms of Service (“General Terms”) form a legally binding agreement between you and Cathrix Network Inc., a corporation registered in Alberta, Canada (“Cathrix,” “we,” “us,” or “our”).

These General Terms apply to websites, customer portals, software, applications, online platforms, infrastructure, products and other services that are provided by Cathrix and that refer to or incorporate these General Terms, collectively, the “Services.”

For purposes of these General Terms, a “Consumer” is an individual who obtains Services primarily for personal, family or household purposes rather than for business purposes.

1. Agreement and Applicability

1.1 Acceptance and Eligibility

You accept these General Terms when you:

  • click or otherwise indicate agreement;
  • create an account;
  • submit an Order; or
  • use a Service after reasonable notice.

You must be at least the age of majority in your place of residence. If accepting on behalf of a legal entity, you represent that you have authority to bind that entity. Nothing in these General Terms limits rights that cannot legally be waived.

1.2 Contract Documents and Priority

Your agreement with Cathrix may include service-specific supplemental terms (“Supplemental Terms”), our Data Processing Addendum (“DPA”), an accepted order or statement of work (“Order”), and other incorporated policies.

If there is a conflict, the following order of priority applies:

  • a separately signed overriding agreement;
  • the applicable Order;
  • the DPA (solely for personal data processing);
  • Supplemental Terms;
  • these General Terms; and
  • other incorporated policies.

Our Privacy Policy separately explains our data practices.

2. Account and Usage

2.1 Accounts and Authorized Users

You must provide accurate and current account, billing, and payment information. You are responsible for all activity performed through your account and for managing the permissions of your authorized users. Cathrix may require identity verification to prevent fraud.

You must promptly notify us if you become aware of:

  • compromised credentials;
  • unauthorized access; or
  • a security incident affecting your account.

2.2 Your Responsibilities

You are responsible for:

  • selecting appropriate Services for your needs;
  • maintaining equipment, connectivity, and systems under your control;
  • securing your systems, applications, and credentials (including using strong authentication and encryption);
  • maintaining independent backups of your data (backup features provided by Cathrix are not a substitute for an independent backup strategy);
  • obtaining necessary permissions from your end-users; and
  • cooperating with security, fraud, and abuse investigations.

2.3 Acceptable Use

You must ensure that your use of the Services complies with all applicable laws. You must not use, attempt to use, or permit the Services to be used:

  • for unlawful, fraudulent, deceptive, or abusive activity;
  • to violate intellectual property, privacy, or other legal rights;
  • to distribute malware, stolen data, or compromised credentials;
  • to gain unauthorized access to systems or conduct unauthorized penetration testing;
  • to disrupt, overload, or degrade any system, or to launch denial-of-service attacks;
  • to send spam or unlawful unsolicited communications;
  • to impersonate others, or falsify routing and traffic information;
  • to facilitate severe unlawful harm (e.g., child exploitation, terrorism);
  • in violation of sanctions, export-control, or trade laws; or
  • to create an unreasonable legal, reputational, or operational risk to Cathrix or third parties.

3. Services, Fees, and Taxes

3.1 Provision and Dependencies

Cathrix will provide paid Services substantially as described in the applicable Order. We will not materially reduce the core functionality of a paid Service during a prepaid term except where reasonably necessary to:

  • comply with applicable laws;
  • address security or abuse risks;
  • respond to third-party upstream changes; or
  • replace it with equivalent functionality.

The Services may depend on third-party products, networks, or telecommunications providers. Cathrix does not guarantee the continued availability of third-party dependencies. Free, beta, or trial Services may be modified or discontinued at any time.

3.2 Orders, Fees, Payment and Renewal

Prices, billing periods, and limits are stated in the applicable Order. Unless otherwise stated:

  • fees are payable in Canadian dollars and exclude taxes;
  • recurring Services automatically renew unless cancelled through account controls before the stated deadline;
  • Cathrix may change recurring prices with reasonable advance notice, effective no earlier than the next renewal;
  • fees are non-refundable except where required by law, stated in an Order, or if Cathrix permanently discontinues a prepaid Service without cause.

Late Payments: If an amount is overdue, Cathrix may:

  • suspend the affected Service;
  • charge interest at the lower of 1.5% per month (equivalent to 18% per year) and the maximum rate permitted by law; and
  • recover reasonable collection costs.

Chargebacks do not cancel valid payment obligations.

3.3 Taxes

Unless stated otherwise, all fees are exclusive of applicable taxes (such as GST, HST, provincial sales tax, VAT, duties, and levies). You are responsible for paying these taxes. If claiming an exemption, you must provide valid documentation before purchase.

If purchasing for business purposes and law requires tax withholding, you must:

  • remit the tax to the authority;
  • provide official evidence; and
  • gross up the payment to Cathrix (this requirement does not apply to Consumers).

4. Data, Privacy, and Intellectual Property

4.1 Customer Content

Customer Content” means data, software, and materials processed by or for you through the Services. You retain ownership of Customer Content.

You grant Cathrix a limited, non-exclusive right to process it only as reasonably necessary to:

  • provide the Services;
  • offer technical support;
  • investigate fraud or abuse; and
  • comply with applicable law.

You warrant that your Customer Content does not violate applicable law or third-party rights. Cathrix may restrict or remove content to address legal demands, security incidents, or imminent harm.

4.2 Security and Privacy

Cathrix maintains reasonable safeguards appropriate to the Services. However, no system is completely secure. Cathrix’s data practices are governed by our Privacy Policy and DPA. You must not submit highly sensitive or regulated information unless expressly permitted by an Order and secured appropriately.

4.3 Intellectual Property and Feedback

Cathrix retains all rights in the Services, software, APIs, and documentation. You receive a limited, revocable, non-exclusive right to use the Services.

Except where expressly permitted by law or an open-source license, you must not:

  • reverse engineer or extract source code;
  • resell, sublicense, or bypass access controls; or
  • copy, modify, or create derivative works from the Services.

Any voluntary feedback you provide may be used by Cathrix perpetually and without compensation.

Subject to our Privacy Policy, Cathrix may monitor usage, routing, and system data to maintain Services, bill accurately, detect abuse, and comply with law. Cathrix is not obligated to actively monitor Customer Content. Cathrix may disclose information to authorities if legally required or in a qualifying emergency, and will notify you where legally permitted and practicable.

5. Suspension and Termination

5.1 Suspension and Termination Rights

Cathrix may suspend access to a Service, or terminate the applicable agreement entirely, if reasonably necessary due to:

  • overdue payment;
  • a material breach of the agreement (including Acceptable Use violations);
  • actual or suspected security incidents, fraud, or unlawful activity;
  • a binding legal or governmental requirement;
  • use that disrupts shared resources or threatens Cathrix, suppliers, or other users; or
  • a prolonged event outside reasonable control preventing performance.

Where reasonably practicable, Cathrix will provide notice and an opportunity to remedy before suspension or termination. Cathrix may act immediately without notice for severe abuse, security risks, or legal exposure. You remain responsible for fees accruing during a suspension caused by your breach.

5.2 Effects of Termination

You may terminate a Service via the available cancellation process. Upon termination:

  • your right to access and use the Service ends;
  • all unpaid and accrued amounts become immediately due;
  • provisions intended to survive (including payment, liability, and intellectual property) will remain effective; and
  • you must export your Customer Content before termination (unless Supplemental Terms provide a retrieval period).

6. Disclaimers and Liability

6.1 Disclaimers

(This section applies to the maximum extent permitted by law.)

Except as expressly stated, Services are provided “as is” and “as available”. Cathrix disclaims all implied warranties of:

  • merchantability;
  • satisfactory quality;
  • fitness for a particular purpose;
  • title; and
  • non-infringement.

Cathrix does not warrant that Services will be uninterrupted, error-free, completely secure, or immune from data loss. Services are not designed for uses where failure could cause death, injury, or severe physical damage.

6.2 Limitation of Liability

(This section applies to the maximum extent permitted by law.)

Cathrix and its affiliates or suppliers will not be liable for indirect, incidental, special, punitive, or consequential damages; loss of profits, revenue, or data; business interruption; or losses caused by third-party infrastructure.

Cathrix’s total aggregate liability relating to the Services will not exceed the greater of:

  • the fees you paid to Cathrix for the affected Service during the 12 months immediately preceding the event giving rise to the claim; and
  • 100 Canadian dollars.

These limits do not apply to Cathrix’s fraud, willful misconduct, or liabilities that cannot legally be excluded (including Consumers’ non-waivable statutory rights).

6.3 Indemnification

If you use the Services primarily for business purposes, you will defend and indemnify Cathrix against third-party claims, damages, and costs arising from:

  • your Customer Content;
  • your unlawful use of the Services;
  • your material breach; or
  • acts of your authorized users.

Cathrix will provide reasonable notice and permit you to control the defence, but you must not settle in a way that imposes obligations on Cathrix without consent.

7. General Provisions

7.1 Force Majeure

Neither party is liable for a delay or failure caused by events outside their reasonable control, including:

  • natural disasters or severe weather;
  • wars, terrorism, or government actions;
  • major cyberattacks or upstream network failures; or
  • supply-chain disruptions.

This does not excuse payment obligations or failures due to a lack of reasonable preparation.

7.2 Governing Law and Disputes

Before formal proceedings, parties should attempt informal resolution. These General Terms are governed by the laws of Alberta and the federal laws of Canada applicable in Alberta. The courts located in Edmonton, Alberta have exclusive jurisdiction. This does not deprive a Consumer of mandatory statutory rights, local jurisdiction rules, or access to legally available consumer complaint processes.

7.3 Electronic Communications

Notices, invoices, and disclosures may be provided electronically via email, portal, or prominent website notice. You are responsible for maintaining a valid email address. Where another applicable contract document or incorporated policy specifies an email address for a particular matter, notices and communications concerning that matter must be sent to the specified address. All other notices and communications to Cathrix must be sent to [email protected].

7.4 Changes to These General Terms

Cathrix may update these General Terms to reflect changes in law, technology, or business practices. We will provide reasonable advance notice of material changes electronically. Materially adverse changes will not affect current fixed prepaid terms unless required by law, security, or upstream mandates. Continued use after the effective date constitutes acceptance.

7.5 Miscellaneous

  • Assignment: You may not assign the agreement without Cathrix’s consent. Cathrix may assign it to an affiliate or in a corporate transaction.
  • Severability: If a provision is invalid, it will be modified minimally to become enforceable or severed, keeping the rest intact.
  • Waiver: A failure to exercise a right is not a waiver. Waivers must be in writing.
  • Entire Agreement: This agreement replaces all prior proposals and communications regarding its subject matter.
  • Language: The English version is the governing version. Translations are for convenience only.
